I am in the process of leasing to 1334 Haynesville Leasing & Minerals in 16-16-26. I have researched this company myself but wondered if anyone had any other info to add. Also, are there any new provisions that should be included in a lease signed currently?

They are flippers.

Can you explain?

I understand what a flipper is but don't believe that they are flippers from my info, thanks for your help

I leased with them in DeSoto Parish in 2016 and the landman swore up and down that they were not flippers. They flipped the lease to Vine in March of this year. Look in SONRIS for any wells operated by 1334 Haynesville, LLC. I don't think you will find any. They also did a bad job of distributing lease payments to our group, and messed up the 1099s. I would not do business with them again.

Chances are that the people who 1334 Haynesville is looking to flipped to will contact you soon.

I haven't signed yet but plenty in our section have.  1334 Haynesville comes from Stronghold Resource Partners which is made up of former Chesapeake people such as head landman which gave me more confidence.  I guess it may have been misplaced confidence.  So when I don't sign with them the company they flip to comes to me themselves?  Thanks for your info!

Most likely 1334 is speculating that somebody else is interested in your property. There is no guarantee that somebody else is looking to lease your property and I'm just a stranger on the internet. You have to decide if you want to get money known money now, or potential money later. It is not an easy decision.

1334 Haynesville has filed a fair number of leases in the public record.  If they are speculating they appear to be doing it with the approval of the companies that they convey their leases to.  In Caddo, the company has assignments to Nadel&Gussman, Ensight and Brix.  Since 1334 recently recorded a conveyance of a lease in Section 16 - 16N - 16W to Brix, I'd say it's a pretty good bet that they are representing that company at least in that particular area.  There are other conveyances from 1334 to Brix and I haven't reviewed them all, just the most recent one for the lease in your section.  Brix is a registered operator with the state however they have never permitted a well.  The company has filed at least one unit application that I recall.  Brix is associated with Vine O&G.

There is zero relationship between 1334 HA and Brix/Vine.  They were not buying leases on behalf of either.

A quick search of the Louisiana corporations database shows the company based in Oklahoma City with a Lafayette name listed as registered agent.

And they are not in good standing with the Louisiana Secretary of State for failure to file a required annual report - that alone is a red flag. IMO, they are speculators looking for assets they can flip - certainly not involved in drilling.

1334 Haynesville is a land company.  They work for clients.  Those clients may be an "investor" or an operating company.  Not keeping up with annual reports to the SOS should not be seen as too big a deal.  I know lots of business that let it fall through the cracks.  Not long ago I noticed that one of my LLC annual reports had not been filed.  It was sent to my attorney's address and no one there had taken care to renew it.  I let them know and they took care of it.  This is a fairly common occurrence and should not be a disqualifier.

Thanks for your info, Skip.  When you say the company has "assignment to" exactly what does that mean?

When a lessee transfers a lease to another party, they "assign" the lease.  Few operating companies maintain enough warm bodies in their land department to run a significant leasing program.  The predominant way that a land program is run is the operator's land department oversees one or more land companies that do the actual leasing and record the leases in their name.  When the land company gets the target acreage under lease they will record an assignment that transfers the leases to the client company. Operating companies like to keep their name out of any instrument filed in the public record as long as possible.  It helps to keep the competition in the dark and not generate too much coffee shop talk that might serve to drive up costs.
